Affiliate Program Terms & Conditions

Program Name: Aris Product Options, Variants Affiliate Program ("Program")

Company: Aris Product Options, Variants ("Aris", "we", "us", "our")

Affiliate: The individual or entity accepted into the Program ("you", "your")

By applying to or participating in the Program, you agree to these Terms & Conditions.

The Program allows you to promote Aris Product Options, Variants (the "App") using an approved affiliate tracking link ("Affiliate Link"). When a referred merchant becomes a paying customer, you may earn a commission subject to these Terms.

1. You must provide accurate and complete information during application and keep it updated.
2. We may accept or reject any application at our sole discretion.
3. You must be legally able to enter into a binding agreement and comply with all applicable laws and regulations.

• Commission Rate: 25% of Eligible Revenue from each Qualified Referral.
• Commission Duration: Commissions accrue for 24 months starting from the date the referred merchant makes their first successful payment for a paid subscription.
• Pending Period: All commissions are subject to a 45-day pending period (see Section 7) before they are considered earned and eligible for payout.
• After 24 months, no further commissions will accrue.

• Qualified Referral: A new merchant who installs the App and subscribes to a paid plan through your Affiliate Link, and is not already an existing customer or attributed to another partner/channel at the time of referral.
• Eligible Revenue: Net subscription fees actually paid to Aris for the App by a Qualified Referral, excluding (where applicable) taxes, refunds, chargebacks, discounts, credits, partner revenue share, and any non-recurring fees not explicitly included in the Program.
• Self-Referral: You (or your company) subscribing to the App using your own Affiliate Link.
• First Successful Payment: The first subscription payment successfully processed and received by Aris for the App from a referred merchant.
• Pending Commission: A commission amount that has been recorded but is still within the 45-day pending period and therefore not yet earned or payable.
• Approved (Earned) Commission: A commission amount that has passed the pending period and is not subject to cancellation, refund, chargeback, reversal, fraud, or policy violations.

• Attribution is subject to our tracking system. If tracking is blocked due to browser settings, ad blockers, cookie restrictions, or other technical factors outside our control, we may be unable to attribute the referral.
• Attribution Window: A referral is valid when a merchant clicks an affiliate's referral link and completes installation and payment within 30 days using the same device/browser. Referrals outside this window will not generate commission.
• We reserve the right to resolve attribution questions in good faith based on available evidence (e.g., system logs).

• You earn commissions only when New Customers install the app for the first time and upgrade to a paid plan via Shopify billing.
• Commissions will not be paid in the following cases:
  • The customer re-installs the app or already exists in our system.
  • The subscription is cancelled, refunded, or charged back.
  • Self-referrals, such as purchasing through your own affiliate link, domain, email, or payment method.

1. Pending Period Length: Each commission enters a pending period of 45 days starting from the referred merchant's First Successful Payment date.
2. Effect of Pending: During the pending period, the commission is recorded as Pending Commission and is not considered earned and not eligible for payout.
3. Cancellation/Refund During Pending: If the merchant's subscription is cancelled, refunded, charged back, reversed, or otherwise deemed invalid (in whole or in part), then no commission will be earned for the affected amount, and it will be treated as ineligible.
4. Approval After Pending: If no issues occur during the pending period, the commission will automatically convert to Approved (Earned) Commission after day 45.
5. Fraud/Abuse Exception: We reserve the right to extend the pending period, withhold payouts, or void commissions if fraud, abuse, tracking manipulation, or violations are suspected.

1. Payout Method: You may request a payout through the affiliate portal/dashboard once your commissions are eligible for payout.
2. Payout Schedule: We will process and issue payouts within up to 60 days after a valid payout request is submitted and approved.
3. Minimum Withdrawal Threshold: Affiliates may request payout once earnings exceed the minimum withdrawal threshold of USD $100. If you do not reach the threshold, the balance will roll over until the threshold is met.
4. Eligibility: Only Approved (Earned) Commissions are eligible for payout. Pending Commissions are not payable.
5. Clawback Policy: Commissions are only payable on revenue that is successfully collected and not subject to refund, chargeback, reversal, cancellation, or other invalidation. If Shopify issues any billing adjustment (such as downgrades, uninstall, refund, chargeback or other billing corrections after payout), we may deduct the corresponding amount from future payouts (or require repayment where legally permitted).
6. Verification: We may request additional information to verify your identity, payment details, or compliance before processing a payout request.

You are responsible for all taxes, duties, and governmental charges related to commissions you receive. We may require tax forms or documentation before issuing payouts, depending on your location and applicable laws.

You agree to:

1. Honest Representation: Represent the App honestly and do not make misleading, deceptive, or unsubstantiated claims.
2. Compliance with Laws: Comply with all applicable laws, regulations, and platform policies, including advertising and consumer protection rules.
3. Affiliate Disclosure: Clearly disclose your affiliate relationship where required (e.g., "I may earn a commission if you sign up through my link.") in accordance with FTC guidelines or applicable local laws.
4. Use of Brand Assets: Use only approved brand assets and messaging provided by Aris, unless otherwise approved in writing.

You must not:

1. Fraud & Manipulation: Engage in fraud, abuse, or manipulation of tracking systems, including but not limited to cookie stuffing, fake leads, or incentivized installs without prior written approval.
2. Self-Referral: Use Self-Referral methods to generate commissions for your own accounts or businesses.
3. Unauthorized Branded Ads: Bid on or purchase ads using branded keywords (including variations and misspellings such as "Aris Product Options, Variants", "Aris Options", or the Company/Brand name) without prior approval.
4. Spam & Deceptive Practices: Use spam, unsolicited bulk messaging, or any deceptive or misleading promotional tactics.
5. Misrepresentation: Misrepresent pricing, features, guarantees, or falsely present yourself as Aris or an official representative.
6. Prohibited Content: Promote the App on websites or platforms that contain illegal content, hate speech, or content that violates intellectual property or third-party rights.

Violation may result in immediate termination and forfeiture of unpaid commissions.

1. You are granted a limited, non-exclusive, non-transferable, and revocable license to use our approved logos, brand name, and marketing materials solely for the purpose of promoting the App under this Program.
2. You may not modify, alter, or misuse our brand assets, nor use them in any misleading, deceptive, or unauthorized manner.

If we share non-public information (e.g., roadmap, pricing arrangements, internal metrics), you must keep it confidential and use it only for Program purposes.

1. Either party may terminate your participation at any time, with or without cause, by written notice.
2. Upon termination, you must stop using Affiliate Links and brand assets.
3. Accrued commissions earned before termination may still be paid, unless termination results from fraud, abuse, or violation of these Terms—in which case commissions may be voided.

We may update or modify the Program or these Terms at any time (including commission rules, payout schedule, and eligibility). Changes take effect when posted or communicated. Continued participation after changes means you accept the updated Terms.

1. The Program and marketing materials are provided "as is" without warranties of any kind.
2. To the maximum extent permitted by law, Aris will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits/revenue related to the Program.
3. Our total liability under the Program will not exceed the total commissions paid to you in the preceding 3/6/12 months.

You are an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship. You have no authority to bind Aris.

These Terms are governed by the laws of [Governing Law/Jurisdiction]. Any disputes will be resolved in [Courts/Arbitration Venue], unless required otherwise by applicable law.
